SUBJECT: Proposed Constitutional Amendment to Article VII.A.1 – Dues Amount

WHEREAS, UAN and ANA are parties to an Autonomy and Affiliation Agreement that became effective July 1, 2003; and

WHEREAS, UAN greatly desires to continue its affiliation with ANA; and

WHEREAS, Article VII.A. of the UAN Constitution provides that, “Effective July 1, 2003, dues to the UAN shall be calculated in accordance with Paragraph 6 of the Agreement of Autonomy and Affiliation between the UAN and ANA”; and

WHEREAS, Pursuant to the Autonomy and Affiliation Agreement, the earliest effective date on which the Agreement can be modified or terminated would be July 1, 2008; and

WHEREAS, in the event either UAN or ANA desires to make changes to the Autonomy and Affiliation Agreement, to be effective on or after July 1, 2008, discussions pertaining to such anticipated changes are likely to take place during the first half of 2008; and

WHEREAS, a change in the provision of the Autonomy and Affiliation Agreement that deals with the allocation of or payment of dues (currently Paragraph 6 of that Agreement) could become effective as early as July 1, 2008, and such change could necessitate a change in the language of Article VII.A; and

WHEREAS, it is prudent, and in the best interest of UAN and its members, to make appropriate changes to Article VII.A. at the 2008 NLA so that payment of UAN dues is not subject to any uncertainty in the future terms of the Autonomy and Affiliation Agreement;

THEREFORE BE IT RESOLVED, that Article VII.A.1. shall be amended to read as follows:

1. Effective July 1, 2008, dues to the UAN shall be in amount as calculated in accordance with the provisions of the Autonomy and Affiliation Agreement between ANA and UAN dealing with the allocation of or payment of dues, but, in the absence of any such provision, the amount to be paid by the Affiliate shall be no less than the amount of dues payable to UAN as of June 30, 2008.

BE IT FURTHER RESOLVED, that Article VII.A.2. shall continue to read as follows:

2. Dues may be increased only by a majority roll call vote of the National Labor Assembly.

BE IT FURTHER RESOLVED, that the Executive Council shall appoint a five (5) person committee/task force comprised of National Labor Cabinet (NLC) members and/or NLA delegates recommended by the NLC. The committee/task force will study and make recommendations to the Executive Council and the NLC concerning the implementation of a new UAN dues structure. The UAN Secretary-Treasurer shall preside as chair of this committee/taskforce and a report will be presented at the next regular meeting of the NLA. UAN staff, legal counsel and state staff will support and advise the committee/task force members.
